URGENT SALE – Intellectual Property Assets of 3D medical device manufacturer, 3DMEDiTech Pty Ltd (in Liquidation).

3DMEDiTech (3DM) was globally recognised for its speed in the development and production of personalised medical devices manufactured at scale through advanced 3D printing, transforming supply chains, and providing its global partners with the means for effective bio-security processes.

3DM’s advanced manufacturing technologies dramatically reduce waiting periods for customised devices and maximised supply chain efficiencies for Governments, hospitals, and clinics.

3DM traded alongside related businesses, operated through related companies, Serkel Solutions Pty Ltd (“Serkel”)and Smilestyler Solutions Pty Ltd (“Smilestyler”), from leased premises at Unit 3, 40 Cook St, Port Melbourne, Victoria (“the Premises”).

On 14th November 2023, the Federal Court of Australia ordered that the Company be wound up and that Wayne Marshall and Alan Hayes of Hayes Advisory (“Liquidators”) be appointed as joint & several liquidators. At the date of Liquidators’ appointment, 3DM was trading at a reduced capacity due to contracts expired about six (6) months prior and further contracts yet to be negotiated.

Whilst the Business has ceased trading at the end of December 2023, the Liquidators maintained the 3DM’s business Premises at Port Melbourne, the necessary Business licenses, and intellectual property, all of which, save for the Premise’s lease, are for sale (“Company’s Assets”).

Assets for Sale are:

1. Business Name / Company Name: 3DMEDiTech

2. Documentation: Any related IP documentation and electronic material, including: Books & records relating to sales, customers, intellectual property (including software); and Any other intellectual property, including business phone numbers, identified as owned or registered to 3DM.

3. Design Rights: There are five (5) registered Design Rights in relation to its medical devices, some of which have also been registered on the Global Design Database and the Liquidators will use best endeavours to obtain and provide a successful purchaser with any supporting design drawings, plans, etc.

4. Therapeutic Goods Administration Registrations: There are seven (7) devices currently listed on the Australian Register of Therapeutic Goods.

5. Trademark | Patents: There are seven (7) registered trademarks relating to the company name and logo. There were four (4) registered patents, however, each registration has lapsed. And any registered patents (Australian or international), if any.

6. Database/s: Customers’ details are recorded in Xero. The Liquidators will use best endeavours to retrieve them.

The Opportunity

By acquiring the Assets of 3DMEDiTech Pty Ltd (in liquidation) the new owner has the option to either restart trading as is or bolt into an existing offering. If a purchaser wishes to acquire the intellectual property assets of 3DM, they may offer them in conjunction with any joint offer for intellectual property registered to Serkel or Smilestyler. If an offer were received for the latter, the respective liquidators of Serkel and Smilestyler would be the approving party for such assets.
